Terms of Service

1. Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for complying with the laws that apply to you, including any rules about digital assets in your jurisdiction.

2. What ClaspMarket is

ClaspMarket is a venue that connects buyers and sellers. It is non-custodial: payments are made wallet-to-wallet and through escrow smart contracts on the Base blockchain. We never take custody of your funds and are not a bank, broker, money transmitter, or payment processor. Transactions are between buyers and sellers.

3. Accounts & wallets

When you sign in, a smart wallet is created for you through our authentication provider. You are responsible for your account and for activity that occurs through it. Keep your login credentials and devices secure.

4. Buying & selling

• Digital products are delivered instantly after payment. Because access is granted immediately, sales of digital products are final and non-refundable, except where required by law.
• Services are paid into an escrow smart contract. Funds are released to the seller when you approve the delivery, or automatically if you do not respond within the approval window (currently 48 hours after delivery).
• Sellers are responsible for the accuracy of their listings and for delivering what they promise. Buyers are responsible for reviewing listings before purchasing.

5. Payments & fees

Prices and payments are denominated in USDC on Base. ClaspMarket charges a platform fee on completed transactions (currently 10%), deducted at settlement. On-chain network costs may also apply. You can optionally buy USDC with a card through MoonPay, subject to MoonPay’s own terms.

6. Disputes & settlement

If an issue arises on a service order, the buyer and seller can propose and accept a split of the escrowed amount directly through the contract’s settlement mechanism. ClaspMarket provides this tool but is not an arbiter of disputes and does not guarantee any outcome. You agree to act in good faith. See our Refund & Dispute Policy for details.

7. Acceptable use

You agree not to use ClaspMarket to list, sell, buy, or distribute:

• Illegal goods or services, or anything you do not have the right to sell.
• Content that infringes intellectual property or privacy rights.
• Malware, stolen data, or material that is fraudulent, deceptive, or harmful.
• Anything that violates applicable law or these Terms.

The full list of restricted categories is in our Prohibited Services Policy. We may remove content and suspend accounts that violate these rules.

8. Intellectual property

Sellers retain rights to the content they list and grant buyers a license to use what they purchase as described in the listing. You represent that you own or are licensed to sell anything you list. The ClaspMarket name, brand, and software remain ours.

If you believe content on ClaspMarket infringes your copyright, see our Copyright & DMCA Policy for how to submit a takedown notice. We remove infringing material and terminate repeat infringers.

9. Disclaimers

ClaspMarket is provided “as is” without warranties of any kind. We do not guarantee the quality, legality, or safety of items listed by sellers, or that the service will be uninterrupted or error-free. Blockchain transactions are irreversible; digital assets carry risk and may lose value. You use ClaspMarket at your own risk.

10. Limitation of liability

To the maximum extent permitted by law, ClaspMarket and its operators will not be liable for any indirect, incidental, or consequential damages, or for any loss of funds, assets, data, or profits arising from your use of the service or from transactions between users.

11. Indemnification

You agree to indemnify and hold ClaspMarket harmless from claims arising out of your listings, purchases, content, or violation of these Terms or the law.

12. Termination

You may stop using ClaspMarket at any time. We may suspend or terminate access if you violate these Terms or to protect the service and its users.

13. Changes

We may update these Terms. Continued use after changes take effect means you accept the updated Terms. The “Last updated” date above reflects the current version.

14. Governing law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of ClaspMarket will be subject to the courts located in the State of New Mexico, United States, unless applicable law requires otherwise.
